Terms and Conditions

These Terms and Conditions govern access to the website of The Sky Packaging, including all quotations, design services, custom packaging products, printing services, orders, payments, production, shipping, and related communications.

By accessing our website, requesting a quote, submitting artwork, approving a proof, making a payment, or placing an order, you confirm that you have read, understood, and agreed to these Terms and Conditions.

If you place an order on behalf of a company or another organization, you confirm that you have authority to accept these Terms on its behalf.

Definitions

For these Terms:

  • “Company,” “we,” “our,” and “us” mean The Sky Packaging.

  • “Customer,” “you,” and “your” mean the person or organization requesting or purchasing our products or services.

  • “Website” means theskypackaging.com and its associated pages, forms, and online services.

  • “Products” include custom boxes, bags, labels, inserts, packaging components, printed materials, prototypes, samples, and related products.

  • “Artwork” includes customer-provided logos, text, images, graphics, dielines, trademarks, instructions, and design files.

  • “Proof” means the digital or physical representation of the proposed artwork, structure, or order specifications provided for customer approval.

  • “Business day” means Monday through Friday, excluding applicable public holidays and announced business closures.

Eligibility and Authority

You must be legally capable of entering into a binding agreement to use our ordering services.

When placing an order, you represent that:

  • The information you provide is complete and accurate.

  • You are authorized to place the order.

  • You are authorized to use all submitted artwork and content.

  • The products will be used only for lawful purposes.

  • You will comply with all laws applicable to your products and business.

We may refuse, suspend, or cancel an order if we reasonably believe that it involves fraud, unlawful activity, intellectual property infringement, prohibited content, regulatory risk, or misuse of our services.

Quotes and Estimates

Quotes are prepared using the information supplied by the customer, including:

  • Packaging style and structure

  • Dimensions

  • Material and thickness

  • Quantity

  • Printing method and colors

  • Coatings and finishes

  • Inserts and accessories

  • Shipping destination

  • Production requirements

  • Requested delivery schedule

A quote is an estimate until the final artwork, specifications, shipping details, and production requirements have been reviewed and accepted.

Prices may change if the customer changes the size, quantity, material, printing, finishing, artwork, delivery location, turnaround, or other specifications.

Unless otherwise stated, a quote remains valid for 30 calendar days. Material, freight, currency, tax, and supplier cost changes may require a revised quote.

Order Acceptance

Submitting a quotation form or inquiring does not create an order.

An order becomes accepted only after:

  1. All required specifications have been confirmed.

  2. The required payment has cleared.

  3. Final artwork and proof have been approved.

  4. The Sky Packaging confirms acceptance of the order.

We may correct obvious pricing, typographical, calculation, or specification errors before accepting an order. If such an error is discovered after payment, we will provide the customer with the option to accept the corrected terms or receive a refund for the unproduced portion of the order.

Payments and Currency

Unless an approved quote states otherwise:

  • Prices are quoted and payable in U.S. dollars.

  • Full payment is required before production begins.

  • Payment must be made using an approved payment method.

  • Production slots are not reserved until the required payment is received.

  • Customers are responsible for applicable taxes, duties, bank charges, payment fees, and currency conversion costs not expressly included in the quote.

A payment is not considered complete until it has successfully cleared.

If a payment is reversed, disputed, declined, or charged back, we may suspend the order, stop production, withhold delivery, recover completed production costs, and exercise any other lawful remedy.

Customers should contact us before initiating a chargeback so that we have a reasonable opportunity to investigate and resolve the issue.

Customer-Provided Information

The customer is responsible for providing accurate:

  • Contact information

  • Billing information

  • Shipping address

  • Product specifications

  • Measurements

  • Artwork and branding

  • Quantity requirements

  • Material requirements

  • Regulatory and labeling instructions

We are not responsible for errors, costs, reprints, or delays caused by inaccurate, incomplete, outdated, or misleading information supplied by the customer.

Any change made after the quote or proof is approved may require a revised price and production schedule.

Customer Artwork Requirements

Customers should provide print-ready artwork according to our requested specifications.

Artwork should generally be:

  • Created at the correct finished size

  • Supplied in CMYK color mode

  • At least 300 DPI at final print size

  • Supplied with appropriate bleed and safety margins

  • Provided with embedded or outlined fonts

  • Submitted in a suitable professional file format

Artwork supplied in RGB, low resolution, an incorrect size, or an unsupported format may require adjustment or conversion. Such adjustments may alter colors, fonts, images, proportions, or appearance.

We are not responsible for printing problems caused by low-quality or incorrectly prepared customer artwork, including pixelation, blurring, missing fonts, incorrect colors, transparency problems, improper bleeds, incorrect dielines, or distorted images.

Customer Ownership and Authorization

Customers retain ownership of their original artwork and branding.

By submitting artwork, the customer grants The Sky Packaging and its authorized production partners a limited, nonexclusive, royalty-free license to:

  • Review and store the files

  • Prepare proofs

  • Make production-related adjustments

  • Reproduce the artwork on ordered products

  • Share necessary files with approved manufacturers and service providers

  • Retain reasonable production and order records

This license is limited to fulfilling the order, providing support, meeting legal obligations, and resolving disputes.

The customer confirms that submitted content does not violate any copyright, trademark, patent, privacy right, publicity right, trade secret, or other third-party right.

Prohibited Artwork and Products

You may not submit content that is:

  • Unlawful or fraudulent

  • Defamatory or threatening

  • Obscene or exploitative

  • Infringing upon intellectual property rights

  • Intentionally misleading

  • Designed to facilitate illegal activity

  • Harmful to our systems or website

  • Otherwise inappropriate for lawful commercial production

We may reject an order or remove submitted content if we reasonably believe it violates these Terms. We are not required to independently verify ownership of customer-submitted artwork.

Design Services and Design Ownership

Design support may include layout assistance, artwork adjustment, dieline placement, mockups, and production preparation.

Unless expressly included in writing, free design support does not include:

  • Complete brand identity development

  • Ownership of licensed fonts or stock assets

  • Editable source files

  • Unused design concepts

  • Manufacturer production files

  • Proprietary dielines or engineering files

  • High-resolution working files

Fees for completed design, prepress, sampling, or structural development work are nonrefundable once the applicable work has begun.

Ownership of production dies, plates, molds, cylinders, tooling, or proprietary manufacturing files will be determined by the approved quote. Payment for an order does not automatically transfer ownership of supplier tooling or production equipment.

Electronic and Physical Proofs

Every custom printed order requires customer approval before production.

Digital proofs are intended to show:

  • General layout

  • Text and spelling

  • Artwork position

  • Image proportion

  • Dieline placement

  • Structural arrangement

  • Basic order specifications

Digital proofs do not accurately guarantee:

  • Exact printed color

  • Ink density

  • Material texture

  • Foil reflectivity

  • Embossing or debossing depth

  • Coating appearance

  • Final dimensional feel

  • Transparency or overprint behavior

Physical samples, hard-copy proofs, color proofs, prototypes, or production samples may be available for an additional fee and may extend the turnaround time.

Customer Proof Approval

The customer must carefully review the final proof and specifications before approval, including:

  • Spelling and punctuation

  • Product claims and legal notices

  • Barcodes and numerical information

  • Logos and trademark symbols

  • Colors and artwork placement

  • Dimensions and orientation

  • Die cuts, windows, folds, and perforations

  • Material and thickness

  • Coatings and finishes

  • Quantity

  • Shipping information

Approval by email, electronic message, online form, signed document, or another accepted method authorizes us to manufacture the order according to the approved proof.

Once approved, the proof is treated as final. We are not responsible for errors visible in the approved proof, including spelling, grammar, positioning, dimensions, folds, dielines, fonts, text, orientation, or missing information.

Changes After Approval

Changes requested after proof approval may:

  • Require a revised proof

  • Result in additional design or setup charges

  • Delay production

  • Require replacement materials

  • Make cancellation unavailable

No alteration is effective unless confirmed by The Sky Packaging in writing.

Verbal requests or instructions are not binding unless documented and accepted in writing.

Color Accuracy

We make commercially reasonable efforts to reproduce approved colors accurately. Exact color matching is not guaranteed because appearance can vary due to:

  • Screen calibration

  • RGB to CMYK conversion

  • Printing process

  • Ink formulation

  • Material color and texture

  • Coatings and laminations

  • Lighting conditions

  • Adjacent colors

  • Reorders produced at different times

PMS or spot colors may improve consistency but can still exhibit reasonable production variations.

A physical color proof or approved production sample should be requested when precise color matching is essential. Additional charges and production time may apply.

Reasonable color variation is not considered a defect.

Materials, Finishes, and Manufacturing Tolerances

Custom packaging is produced using mechanical and manual manufacturing processes. Reasonable trade variations may occur in:

  • Material thickness and texture

  • Finished dimensions

  • Cutting and scoring

  • Folding and gluing

  • Window placement

  • Registration

  • Ink coverage

  • Lamination

  • Foil stamping

  • Embossing and debossing

  • Spot UV

  • Perforations

  • Assembly

Heavy ink coverage, lamination, paper grain, and certain board types may create minor cracking or variation around folds and scores. Such commercially reasonable variations are not automatically considered manufacturing defects.

Quantity Overruns and Underruns

Custom manufacturing may produce a reasonable overrun or underrun.

Unless exact quantity production is expressly agreed upon in writing, a variation of up to 5% above or below the ordered quantity is considered an acceptable commercial tolerance.

Customers requiring an exact quantity must inform us before accepting the quote. Additional charges may apply.

Food, Cosmetic, Pharmaceutical, Vape, Cannabis, and Regulated Packaging

Materials are not automatically approved for direct food, pharmaceutical, cosmetic, vape, tobacco, cannabis, child-resistant, or other regulated use.

The customer must disclose all special requirements before ordering, including:

  • Direct food-contact certification

  • Grease or moisture resistance

  • Pharmaceutical compliance

  • Child-resistant construction

  • Tamper-evident features

  • Warning labels

  • Ingredient or allergen information

  • Cannabis, tobacco, nicotine, or vape regulations

  • Product safety testing

  • Environmental or recycling claims

The customer is solely responsible for confirming that the final packaging, labeling, warnings, materials, and product claims comply with all applicable federal, state, provincial, territorial, and local laws in the market where the product will be sold.

Providing packaging does not mean that The Sky Packaging has approved or certified the customer’s underlying product.

Sustainability and Environmental Claims

Statements concerning recyclability, biodegradability, compostability, sustainability, or eco-friendly materials depend on material composition, coatings, adhesives, inks, local recycling facilities, disposal conditions, and applicable regulations.

Customers must not make environmental claims about finished packaging without confirming that those claims are accurate and legally permitted in their intended market.

Production Turnaround

Our standard production turnaround is approximately 12 to 14 business days.

The production period begins only after:

  1. The required payment has cleared.

  2. Print-ready artwork has been received and accepted.

  3. The final proof and specifications have been approved.

  4. Any required materials or samples have been received.

  5. The order has been formally released to production.

The 12 to 14 business-day period:

  • Is an estimated production period

  • Does not include proofing or revision time

  • Does not include weekends or public holidays

  • Does not include shipping or transit time

  • Does not include customs clearance

  • May vary for unusually large, complex, specialty, or regulated orders

If approval or payment is received after the applicable daily production cutoff, turnaround may begin on the next business day.

Rush Orders

Rush production may be available upon request but is subject to:

  • Production capacity

  • Material availability

  • Order complexity

  • Artwork readiness

  • Written confirmation

  • Additional charges

A rush deadline is not guaranteed unless we expressly confirm it in writing.

Rush, expedited production, priority freight, and special handling fees are nonrefundable once the associated service has begun, except where required by law.

Order Changes and Cancellations

Cancellation requests must be made in writing.

Cancellation eligibility and charges depend on the order stage, including whether:

  • Payment processing has occurred

  • Design or prepress work has started

  • Proofs have been prepared

  • Materials have been purchased

  • Tooling or plates have been created

  • Production has begun

  • Products have been completed or shipped

Before production begins, a cancellation may be approved after deducting payment processing fees, completed design work, material commitments, administrative expenses, and other nonrecoverable costs.

After manufacturing begins, cancellation may not be possible. If cancellation is technically possible, the customer remains responsible for work completed and costs committed up to the cancellation date.

Completed or shipped orders cannot be canceled.

Custom Orders, Returns, and Refunds

Because custom packaging is manufactured according to customer-specific dimensions, artwork, materials, finishes, and quantities, all custom sales are final unless the products contain a verified manufacturing error attributable to The Sky Packaging.

Returns are not accepted for:

  • Change of mind

  • Customer ordering errors

  • Errors shown in an approved proof

  • Reasonable color differences

  • Acceptable manufacturing tolerances

  • Slight quantity variations within the stated tolerance

  • Delays outside our reasonable control

  • Products used, altered, discarded, or distributed by the customer

No return may be sent without prior written authorization.

Defects, Reprints, and Claims

Claims for defective, incorrect, damaged, or missing products must be submitted in writing within three business days after delivery.

The claim must include:

  • Order or invoice number

  • Clear description of the issue

  • Quantity affected

  • Photographs or videos of the products

  • Photographs of cartons and shipping labels

  • Any other reasonably requested evidence

The customer must retain the products, packaging, and shipping materials while the claim is investigated.

If we confirm that the products materially differ from the approved proof or specifications because of our error, we may, at our reasonable discretion:

  • Reproduce the affected quantity

  • Repair or replace affected products

  • Provide an account credit

  • Issue an appropriate refund for the affected portion

  • Offer another commercially reasonable resolution

A complete refund is not automatically available when a reprint or replacement reasonably resolves the verified problem.

Authorized Returns

If a return is authorized, we will provide return instructions.

The customer must:

  • Return the specified quantity

  • Use adequate protective packaging

  • Ship within the stated return period

  • Provide tracking information

  • Avoid using or distributing disputed products

Use, resale, alteration, disposal, or distribution of disputed products may constitute acceptance and may make a reprint, refund, or credit unavailable.

Responsibility for return shipping will depend on the verified cause of the claim and applicable law.

Shipping and Delivery

Shipping time is separate from the 12 to 14 business-day production period.

Shipping dates and carrier delivery estimates are not guaranteed unless expressly confirmed in writing.

We may use third-party carriers, freight companies, fulfillment providers, and production partners. Orders may be shipped in multiple packages or separate deliveries.

The customer is responsible for providing a complete and accurate shipping address. Additional charges caused by an incorrect address, refused delivery, failed delivery attempt, storage, redirection, or reshipment are the customer’s responsibility.

Shipping Damage, Loss, and Theft

Customers should inspect shipments promptly and document visible damage before discarding cartons or packaging materials.

Damage, shortage, or loss should be reported to both The Sky Packaging and the carrier as soon as reasonably possible and no later than three business days after delivery.

We will reasonably assist with valid carrier claims. Carrier investigations and resolutions are subject to the carrier’s rules and timelines.

We are not responsible for theft occurring after confirmed delivery or for loss caused by an address error provided by the customer.

International and Canadian Orders

Customers receiving shipments outside the country of origin may be responsible for:

  • Import duties

  • Customs charges

  • Brokerage fees

  • Sales or consumption taxes

  • Customs documentation

  • Import permissions

  • Product restrictions

  • Delays during inspection or clearance

Unless the approved quote expressly states otherwise, these costs are not included in the order price.

Canadian customers retain any mandatory protections provided by applicable federal, provincial, or territorial consumer laws that cannot legally be waived.

Taxes

Prices may exclude sales tax, use tax, GST, HST, PST, QST, customs duties, and other governmental charges unless expressly stated.

Customers are responsible for taxes legally applicable to their order. A valid resale or exemption certificate must be supplied before invoicing if an exemption is claimed.

Force Majeure

We are not liable for delay or inability to perform caused by circumstances beyond our reasonable control, including:

  • Severe weather

  • Natural disasters

  • Fire or flood

  • War, terrorism, or civil unrest

  • Epidemics or public health emergencies

  • Government action

  • Labor disputes

  • Power or internet outages

  • Carrier disruption

  • Customs delays

  • Material shortages

  • Supplier interruption

  • Equipment breakdown

  • Transportation failure

We will make reasonable efforts to notify the customer and resume performance when practicable.

Samples, Photography, and Portfolio Use

Physical samples may differ from final production because of materials, printing methods, setup, handmade preparation, or production scale.

Unless confidentiality has been agreed upon in writing, we may retain reasonable production samples for quality control and internal records.

We will not publicly disclose confidential customer information. Customers who do not want finished packaging displayed in our portfolio, website, social media, samples, or marketing materials should notify us in writing before production.

File Storage and Retention

We may retain customer artwork, proofs, correspondence, and production records for operational, legal, quality-control, and reorder purposes.

We do not guarantee permanent storage of customer files. Customers should maintain their own backups of all original and approved artwork.

We are not responsible for loss of files after an order is completed unless caused by our willful misconduct or where liability cannot legally be excluded.

  • Maintaining password confidentiality

  • Restricting access to the account

  • Keeping account information current

  • Promptly reporting suspected unauthorized access

Actions and orders made through an account may be treated as authorized unless we are notified of unauthorized access.

Our website may use or link to third-party payment processors, shipping carriers, analytics providers, live-chat systems, social networks, or other services.

We do not control third-party platforms and are not responsible for their availability, security, content, policies, or performance. Use of those services may be governed by separate terms and privacy policies.

Reviews and testimonials must reflect genuine customer experiences.

By voluntarily submitting a review, you grant us permission to display, reproduce, format, and publish it for legitimate promotional purposes, subject to applicable law and our Privacy Policy.

Consent to marketing text messages is not a condition of purchasing products or services. Transactional or customer-service messaging will be handled in accordance with applicable consent requirements.

Do not publish this SMS section unless your website actually offers SMS enrollment and your consent wording has been properly configured.

39. Privacy

Collection and handling of personal information are governed by our Privacy Policy.

By using the website or submitting information, you acknowledge that your information may be processed by service providers reasonably necessary to handle quotes, payments, production, shipping, communications, security, and legal compliance.

Disclaimer of Warranties

To the fullest extent permitted by law, the website and its general content are provided on an “as available” basis.

We do not guarantee that the website will always be uninterrupted, error-free, secure, or free from harmful components.

Except for express written commitments and warranties that cannot legally be excluded, we disclaim implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement.

Nothing in these Terms excludes mandatory rights that cannot lawfully be waived.

Limitation of Liability

To the fullest extent permitted by applicable law, The Sky Packaging, its owners, employees, contractors, production partners, suppliers, and representatives will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including loss of:

  • Profit

  • Revenue

  • Data

  • Business opportunity

  • Reputation

  • Customers

  • Anticipated savings

Our aggregate liability arising from a particular order will not exceed the amount actually paid to us for the affected portion of that order.

These limitations do not apply to liability that cannot legally be limited or excluded.

Indemnification

To the extent permitted by law, the customer agrees to defend, indemnify, and hold harmless The Sky Packaging, its owners, employees, contractors, suppliers, and production partners from third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from:

  • Customer-provided artwork or content

  • Intellectual property infringement

  • Unlawful or misleading product claims

  • Missing or inaccurate legal labeling

  • Misuse of the packaging

  • Violation of these Terms

  • Violation of applicable law

  • Unauthorized use of another party’s account or content

This obligation does not apply to the extent a claim results directly from our willful misconduct or liability that cannot legally be excluded.

Governing Law

These Terms and related transactions will be governed by the laws of the jurisdiction in which The Sky Packaging is legally established, without regard to conflict-of-law principles.

Before publishing this section, replace the sentence above with the exact U.S. state and county where your company is legally registered.

Mandatory consumer protections available to customers in the United States or Canada remain unaffected where those protections cannot legally be waived.

Good-Faith Dispute Resolution

Before starting formal legal proceedings, both parties agree to make a reasonable good-faith attempt to resolve the dispute through written communication.

A written dispute notice should describe:

  • The relevant order

  • The nature of the dispute

  • Supporting evidence

  • The requested resolution

Nothing in this section prevents either party from seeking urgent injunctive relief or using rights that cannot legally be restricted.

Electronic Records and Signatures

Electronic communications, digital proof approvals, online form submissions, and electronic signatures may be treated as written records and signatures to the extent permitted by applicable law.

Customers are responsible for maintaining copies of quotes, invoices, proofs, approvals, and relevant correspondence.

Assignment

The customer may not transfer an order or its rights under these Terms without our written consent.

We may use affiliates, contractors, suppliers, production partners, and service providers to perform our obligations. We remain responsible for our commitments subject to these Terms.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, it will be modified only to the minimum extent necessary. The remaining provisions will continue in effect.

No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

A waiver is effective only if made in writing by an authorized representative of The Sky Packaging.

Entire Agreement and Order of Priority

These Terms, together with the following documents, form the agreement between the parties:

  • Approved quote

  • Invoice

  • Final proof

  • Order specification sheet

  • Privacy Policy

  • Shipping Policy

  • Return and Refund Policy

  • Any written special terms

If documents conflict, the following order of priority applies:

  1. Written special terms expressly accepted by both parties

  2. Approved quote or invoice

  3. Final proof and order specification sheet

  4. These Terms and Conditions

  5. General website content

Updates to These Terms

We may update these Terms to reflect changes in our operations, services, technology, or legal obligations.

The revised Terms will be posted with an updated effective date. Changes will generally apply prospectively and will not materially alter an already accepted order unless both parties agree or the change is required by law.
